CHAPTER I
GENERAL PROVISIONS

Freely express their
agreement to set up the association after unanimous
approval of the deed and articles of the association,
according to the legal provisions in force.
ART.1
This Association will be named
AEDER.
ART.2.
The AEDER Association is a Romanian legal body on
the basis of its registration to the Law Court of
Hunedoara within the special registry of legal bodies.
ART.3.
The association is a non-profit-making, independent and
autonomous legal body when entering into relations with
Public bodies, political parties, as well as any other
organisations or instions, functionning in accordance
with the rules and objectives laid down by the European
Teachers’ Association constituted in Brussels, Belgium,
as well as others similar associations in aims and
objectives.
ART.4.
The headquarters of the AEDER
association is in Hunedoara, no.1 bis, Alexandru Vlahuta
street, Hunedoara county.
ART.5.
The Executive Committee may decide on the
change of the headquarters to another address in
accordance with the interests of appropriate
development of its activity, with the fulfillment of
obligations stipulated by law.
CHAPTER II
AIM AND OBJECTIVES OF
ASSOCIATION
ART.6.
The aims of the AEDER Association are :
- To deepen, in the world of
education, the knowledge of all the mechanisms of the
national and international structures, within the
political, economical, social and cultural spheres, in
order to encourage a common European behaviour, to work,
by appropriate means in favour of an awareness of the
foundations and the common features of culture in order
to reinforce the democratic and multicultural society;
- To
develop these objectives in all members of the world of
education and all environments where action can serve to
spread the notion of a real European citizenship,
responsible and conscious of its rights and duties;

To look for ways and
methods in such a way as to back every worthwhile
initiative in these directions while respecting unity
and diversity;
- To fight
for the teachers’ professional, social and cultural
interests ;
- To support
the members of the association to get scholarships in
accordance with the aims of the association.
ART.7.
The Association aims
at conducting its action within the framework of the
world of education by multiple and varied initiatives
such as:
-
Groups of studies and
reflection
-
The use of every means of
communication and diffusion;
- The organisation of meetings and contacts;
- The promotion of the practice of European and
international foreign languages
7.1. The main ways to
reach these aims are joint actions within the framework
of national and European programmes , as well as the
presence of the European dimension at all the plans and
stages of education and formation.
ART.8
The main objectives of the association are :
-
Affiliation and co-operation with similar national and
European associations that support common objectives to
those of the AEDER association;
- The
attainment of active participation in the association of
personalities capable of making a contribution towards
the idea of a United Europe;
- the
AEDER association will publish an Information
Bulletin from time to time, containing its objectives
after approval of the General Council and Excutive
Committee.
8.1. The Executive Committee will inform of its
programme and policy every 2 years or soner, if
necessary, on the basis of this Information Bulletin.
CHAPTER III
MEMBERS OF
ASSOCIATION, RIGHTS AND OBLIGATIONS
ART.9.
Membership is open to all teachers, educators and
educational institutions that officially approve and
concur with the objectives of the AEDER. The membership
subscription will be sent to the Executive Committee and
will be established by the Executive Committee and as
duly approved by the General Council of the association
further to meeting deliberations.
ART.10.
The member status is lost by :
- freely
retiring of the person;
- non-payment of
the contribution over a period of 3 consecutive months
in a year
ART.11.
Rights and obligations of the members of the association
are:
-
participation to the
association activity, fulfilment of its aim and
objectives, attendance of the General Council meetings,
they have full right of voting, possibility of being
elected within head bodies of the association, as well
as attendance of all events organised by the
association ;
-
obligation of increasing the
fame of the association by all means, of observing the
deed and articles of the association, obligation of the
monthly contribution payment.
CHAPTER IV
SANCTIONS
ART.12.
In case of non-observance of the statutory obligations
by the members of the association, the following
sanctions are stipulated :
- putting on
guard ;
- temporary
suspension over a period od time established by the
Executive Committee
- exclusion
12.1 .The decision of sanction will be decided by
the Executive Committee together with 2/3 of the total
expressed votes.
12.2. The person sanctioned might appeal to the
General Council that will analyse and decide during the
first meeting.
ART.13
.The Executive Committee will have full power in
assuring the observation of the present statute by its
members.
CHAPTER V
SUBSCRIPTIONS
ART.14.The
monthly subscription fee paid by each member is of 10
RON. The suscription fee is paid at the pay office of
the association, receiving a receipt in exchange.
14.1.The
amount of the subscription fee will be increased on the
basis of the General Council decision according to
inflation of other economic reasons of the association.
CHAPTER VI
HEAD BODIES
ART.15.
The head bodies of the AEDER
association are : the General Council, the Executive
Committee, the Auditors’ Commission.
ART.16.
The General Council of the association is the supreme
head body of the association and it consist of
individuals accepted on the basis of art.9 and that will
have duly paid their annual subscription fee.
16.1 The
General Council will be summoned at least once a year,
having a secretary general who will present the annual
report of the association, the General Council will name
the auditors’ commission consisting of three accountants
or accounting experts who will make the audit of the
financial reports of the association. Half of the
association members shall constitute a quorum. Should
the quorum not be achieved, the meeting of the General
Council will proceed after an hour with the present
members.
16.2.
The Executive Committee might call a meeting of the
General Council within a lap time of 4 weeks, shold the
need arise.
16.3. Half plus one of the members of the
association may order the Executive Committee to convene
a general meeting of the General Council within a period
of 4 weeks.
ART.17.The
General Council will elect the Executive Committee
consisting of 3 persons for a period of 2 years. The
Executive Committee represents the working body of the
association.
17.1
The Executive Committee will deal with all matters
concerning the aim and objectives of the association and
it shall have the authority of creating subcommissions
and units and to appoint representatives.
17.3 The Executive Committee will consists of 3
members in the positions of :
- chairperson
- members
17.4. The Executive Committee will elect the
chaiperson, secretary general, will hire the employees
of the association and will manage any other activities
in connection with the current activity of the
association.
17.5. The Chaiperson of the Executive Committee
is elected for a period of 2 years by the members of the
Executive Committee and has the following abilities:
- co-ordinates and manages the
activity of the Executive Committee of the association
- assures
the effective guidance of the head bodies of the
association within third party relations
- has a
signature specimen in the bank and approves the specific
monthly expenses, monthly reports to the
Executive Committee the financial situation of the
association
-
writes the marketing plan, assures the relation with the
press and the writing of the declarations and
information materials which shall be approved by the
Executive
Committee.
ART.18. When a seat
in the Executive Committee is vacated it shall be filled
by the runner-up following the order of the results of
the election in the last General Council. The person
thus co-opted shall have full voting rights.
ART.19.
The Executive Committee may
set up or dissolve commissions, sub-commissions,
sub-divisions or units, every time the need arises.
19.1.Every working unit of that kind
will account for its activity in frony of the
Executive Committee.
ART.20.The
members of the Executive Committee absenting
themselves for three consecutive meetings without due
justification and notification shall be deemed to have
vacated their seat and they shall be replaced in
accordance with the procedure described in its status.
ART.21
The Auditors’ commission consists of 3 members that
cannot be members of other head bodies of the
association, they are elected by the General Council for
a period of 2 years. The Auditors’ commission meets
once a year and every time the need arises, at the
request of the General Council.
21.1.
The Auditors’ commission has the power to
check up once a year and each time the need arises the
financial and patrimonial activity of the association at
the request of the General Council, it also summons
financial audit reports.
21.2.The
Auditors’ commission has the following structure :CIOARA

CHAPTER VII
ASSETS,
CATEGORIES OF CAPITAL RESOURCES
ART.22.The
assets of the AEDER association consists of 1000
RON deposited by the initiators through a deposit sheet
at the date of the authentification of the statute and
deed of the association.
22.1 The capital resources of the association
consist of :
- the subscription fee of the
association members
- sponsoring on behalf of third
parties in accordance with the legal provisions in force
for natural or legal bodies in amounts of money or goods
- donations, charitable
contributions in terms with the legal provisions, on
amounts of moner or goods.
22.2.
The assets of the association are
indivisible and si non-transmissible apart from the
situations stipulated in the statute and the deed of the
association.
CHAPTER VIII
FINAL
PROVISIONS
ART.23.
The AEDER association elaborates its regulations,
appendixes to the statute and to the deed of association
approved by the General Council.
ART.24.
Division, merging or dissolution may be decided only by
the General Council having three-quarters of the
number of members and on the basis of a decree, voted
with a majority of two-thirds of the number of valid
votes expressed.
24.1.Operations of division, merging and dissolution
shall be made by a commission named by the General
Coucil. The Commission makes up a documentation
concerning distribution, transmission or liquidation of
the association assets.
ART.25. Should
the association be dissolved, the fixed or movable
assets, liquid assets, they will be handed to a Charity
institution with an educational aim.
ART.26.The
General Council has the authority to interpret and apply
this statute and to issue the decisions in relation to
it. The provisions of the statute of the AEDER
association shall guide the General Council in any
matter that is not stipulated by this statute.
The present
statute was adopted at 01.10.2005 |
